Terms of Use

Onticord does work inside your business systems on your instructions and with your approval. You stay responsible for the decisions you approve, the systems you connect, and the people you let in. We are responsible for running the Service as described, keeping your data isolated, and recording what we did.
1. The agreement
These Terms of Use (“Terms”) are a binding agreement between Onticord (“Onticord”, “we”, “us”) and the person or business that creates an account or uses the Onticord website or service (“you”). By creating an account, connecting an agent or a system, or using the Service, you accept these Terms. If you are acting for a business, you confirm that you have authority to bind it, and “you” means that business.
If you and Onticord have signed a separate agreement, that agreement controls where it conflicts with these Terms.
2. What Onticord does
Onticord is an AI operations layer for ecommerce. You delegate business problems through an AI agent or the web, and Onticord gathers context from the systems you connect, proposes a course of action, carries out the parts you have authorized, brings required decisions to a person in your business, and records the outcome.
Onticord acts only within the permissions you grant. Actions Onticord classifies as protected, including anything that moves money, always wait for approval from a person with the right permission in your business. Onticord may also decline, pause, or ask for reconciliation when it cannot confirm what happened in an external system.
3. Accounts, businesses, and members
- You must provide accurate account information and keep your credentials confidential. You are responsible for activity under your account.
- A business is the boundary for data, permissions, and billing. Owners and admins decide who joins, what roles and permissions they hold, and which systems are connected.
- You are responsible for the people you invite and for removing access when it should end. Permissions are checked when work is performed, so changes take effect on the next action.
- You must be at least 18 and able to form a binding contract.
4. AI agents and authorization
- You may connect AI agents and clients that support the Model Context Protocol. Each connection is authorized by a person through OAuth and is bound to the business chosen during that consent. An agent cannot change its own scope, switch businesses, or approve protected actions.
- You are responsible for the agents you connect and for the instructions you give them. Instructions from an agent are treated as coming from the member who authorized it.
- Onticord provides agents with status, identifiers, and available actions. It never provides provider credentials or approval credentials to an agent.
5. Connected systems
- You may connect third-party systems such as Shopify, support desks, fulfillment providers, subscription platforms, marketing tools, and communication tools. You must have the right to connect each system and to allow Onticord to read and act in it as you configure.
- Your use of each connected system remains subject to that provider's own terms. Onticord is not responsible for a provider's availability, accuracy, rate limits, or changes to its service or API.
- You can disconnect a system at any time. Disconnecting stops new actions in that system; records of past actions remain in your audit trail.
6. Your responsibilities
- Review what Onticord proposes before approving it. Approval means you have decided that the action is appropriate for your business and your customers.
- Comply with laws that apply to your business, including consumer protection, marketing consent, and privacy laws, and honor the choices your customers make.
- Give Onticord accurate configuration, policies, and thresholds, and keep them current.
- Do not use the Service to send unlawful, deceptive, or unsolicited communications, to interfere with anyone else's use of the Service, to probe or circumvent its security, to access another business's data, or to build a competing service by extracting our workflow definitions or model prompts.
7. Your data
You own the business data you connect and the records Onticord creates for your business. You grant Onticord the rights needed to store, process, and act on that data to provide the Service, and to produce aggregated or de-identified information that does not identify you or your customers. Our Privacy Policy describes how we handle personal information. Where we process your customers' personal information on your behalf, we act as your processor and will enter into a data processing agreement on request.
8. Fees and billing
Some features may require a paid subscription. When billing is enabled for your business, you agree to pay the fees shown at the time of purchase, and we may charge your payment method on the schedule you selected. Fees are exclusive of taxes unless stated otherwise. We may change prices with at least 30 days' notice; changes take effect at your next renewal. Except where the law requires otherwise, fees are non-refundable.
9. Onticord's intellectual property
Onticord, its software, workflow definitions, block catalog, models of operation, documentation, and branding are owned by Onticord and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription in accordance with these Terms. Feedback you give us may be used without obligation to you.
10. Confidentiality
Each of us will protect the other's non-public information with reasonable care and use it only for the purposes of this agreement. This does not apply to information that is public, already known, independently developed, or that must be disclosed by law, in which case the disclosing party will give notice where allowed.
11. Availability and changes
We work to keep the Service available and will tell you about planned maintenance where practical. We may improve, change, or discontinue features. If we discontinue the Service entirely, we will give you at least 60 days' notice and a way to export your records.
12. Disclaimers
The Service uses AI models whose output can be wrong, incomplete, or inappropriate for a particular situation. Onticord presents proposals with the evidence behind them so that a person can decide; it does not guarantee that any proposal is correct or that any action will produce a particular business result. Except as expressly stated in these Terms, the Service is provided “as is” and “as available”, and Onticord disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
13. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of this agreement. Onticord's total liability for all claims arising out of the Service in any 12-month period will not exceed the fees you paid to Onticord in that period, or 100 US dollars if you have paid nothing. These limits do not apply to a party's breach of confidentiality, misuse of the other party's intellectual property, or liability that cannot be limited by law.
14. Indemnity
You will defend and indemnify Onticord against third-party claims arising from your business data, the actions you approve, the systems you connect, or your breach of these Terms. Onticord will defend and indemnify you against third-party claims that the Service, used as permitted, infringes that party's intellectual property rights. The indemnified party must give prompt notice, reasonable cooperation, and control of the defense to the indemnifying party.
15. Suspension and termination
- You can stop using the Service, disconnect systems, and close your account at any time.
- We may suspend or terminate access if you materially breach these Terms, if your use creates a security or legal risk, or if fees remain unpaid after notice. Where practical we will notify you and give you a chance to fix the problem first.
- On termination, your right to use the Service ends. We will make your records available for export for 30 days and then delete them in accordance with our Privacy Policy. Sections that by their nature should survive, including fees owed, intellectual property, confidentiality, disclaimers, limitations, and indemnities, survive termination.
16. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Delaware, and each party consents to their jurisdiction. Before filing a claim, each party agrees to try in good faith to resolve the dispute by contacting the other within 30 days.
17. General
These Terms are the entire agreement about the Service and replace earlier discussions. If any provision is unenforceable, the rest remains in effect. Neither party may assign this agreement without the other's consent, except to a successor in a merger or sale of substantially all assets. Notices to Onticord go to [email protected]; notices to you go to your account owner's email address. We may update these Terms; material changes will be announced by email at least 30 days before they take effect, and continued use after that date is acceptance.
